The Federal Trade Commission just issued a final rule significantly restricting the use of noncompete agreements pursuant to sections 5 and 6 of the FTC Act. The scope of the prohibition is broad, especially below the senior executive level. While multiple challenges to the new rule will likely play-out in the courts, the impact, if upheld, could be significant. In short, employers will have to elevate their game in engaging their workers and in providing a compelling value proposition, otherwise employees will be largely free to take their experience and talents elsewhere. At the senior executive level, this may also influence employment agreement design. Noncompetes and other prohibitions are often included in such agreements and in exchange for the restrictions, the executive receives consideration in the form of compensation. This new rule may change the game a bit.
